THIO is a field sales management platform operated by Field Logic Solutions, LLC ("we", "us", "our"). The platform provides pest control businesses with tools for property inspections, proposal generation, digital contract signing, payment collection, route optimization, and business analytics ("the Service").

2. Account Responsibilities

By creating an account, you agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account
• Ensure that all users added to your organization comply with these terms

You must be at least 18 years old and have the legal authority to bind your organization to these terms.

3. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts

4. Payment Terms

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law or as described in our refund policy
• We reserve the right to change pricing with 30 days' written notice
• Failure to pay may result in suspension or termination of your account
• Payment processing is handled by Stripe. By using the Service, you also agree to Stripe's Terms of Service

5. Your Data

You retain ownership of all data you enter into the Service ("Your Data"), including customer information, inspection records, proposals, contracts, and payment records. We process Your Data solely to provide and improve the Service.

You grant us a limited license to use, process, and store Your Data as necessary to operate the Service. We will not sell, share, or use Your Data for purposes other than providing the Service, except as described in our Privacy Policy.

You are responsible for ensuring that your collection and use of customer data through the Service complies with applicable privacy laws and regulations.

6. Intellectual Property

The Service, including its source code, design, features, documentation, and branding, is owned by Field Logic Solutions, LLC and is protected by intellectual property laws. These terms do not grant you any ownership interest in the Service.

You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance with advance notice. We are not liable for any downtime, data loss, or service interruptions beyond our reasonable control.

8. Limitation of Liability

To the maximum extent permitted by law, Field Logic Solutions, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from these terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Termination

• You may cancel your subscription at any time through your account settings or by contacting us
• We may suspend or terminate your account for violation of these terms with reasonable notice
• Upon termination, you may request an export of Your Data within 30 days
• After 30 days, we may delete Your Data in accordance with our data retention policies
• Sections relating to intellectual property, limitation of liability, and governing law survive termination

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these terms or the Service shall be resolved in the state or federal courts located in Florida.

11. Changes to These Terms

We may update these Terms of Service from time to time. We will provide at least 30 days' notice of material changes by posting an update on our website or sending you an email. Your continued use of the Service after the effective date of changes constitutes acceptance of the updated terms.
